Gps Freight One LLC ("GpsFreightOne", "Company", "we", "our", or "us") provides GPS tracking hardware, fleet management software, telematics services, and related communication services for commercial and authorized business use (collectively, the "Services"). Services may include vehicle tracking, route history, fleet reporting, alerts and notifications, driver monitoring, geofencing, and optional remote immobilization features.
You agree to use the Services only on vehicles or assets you own, lease, manage, or are legally authorized to monitor. You may not use the Services for unlawful surveillance, stalking, unauthorized monitoring, or any illegal activity. Customers are solely responsible for compliance with all applicable federal, state, and local laws regarding GPS tracking, employee privacy, and driver consent requirements.
Users are responsible for maintaining the confidentiality of account credentials, restricting unauthorized access to accounts, and all activities occurring under their accounts. You must immediately notify GpsFreightOne of any suspected unauthorized access or security breach.
GpsFreightOne relies on cellular networks, GPS satellite signals, and third-party communication infrastructure to provide the Services. We are not responsible for service interruptions, signal loss, or tracking inaccuracies caused by network outages, atmospheric conditions, geographic obstructions, or cellular carrier limitations.
All software, mobile applications, web interfaces, logos, and technology provided as part of the Services are the exclusive property of GpsFreightOne or its licensors. Customers are granted a limited, non-exclusive, non-transferable license to access the platform during their active subscription.
Customers strictly agree NOT to:

Optional remote immobilization features (e.g., starter interrupt relays) carry inherent operational risks. Commands sent via the platform may disable a vehicle's ability to restart.
The Customer acknowledges and agrees that they assume absolute liability for the installation and execution of remote commands. GpsFreightOne shall not be held liable for any accidents, physical injuries, vehicle damage, cargo loss, or legal liabilities arising from the use, misuse, or technical malfunction of remote immobilization features.
Services are billed on a month-to-month subscription basis unless a separate long-term agreement is signed. Subscriptions automatically renew each month using the payment method on file.
Cancellation: Customers may cancel their subscription at any time through the account dashboard or by contacting support. Cancellation will stop future automated renewals but does not entitle the user to a prorated refund for the current billing cycle.
Refund Policy: For hardware purchased upfront, GpsFreightOne offers a thirty (30) day return policy from the date of delivery. To qualify for a refund, the hardware must be returned unopened, unused, and in its original packaging. The Customer is responsible for return shipping costs. Monthly software subscription fees and activation fees are non-refundable.
Additional Devices and Automatic Billing: Customers with an active account and a valid payment method on file expressly authorize GpsFreightOne to charge the payment method associated with their account for any additional devices, services, subscriptions, activation fees, taxes, or related charges added after the initial purchase.
By adding a new device, activating additional services, or expanding the fleet within the platform, the Customer acknowledges and agrees that such action constitutes authorization for GpsFreightOne to process the applicable charges without requiring separate approval for each transaction.
If payment is not successfully completed at the time the additional device or service is added, GpsFreightOne may automatically charge the outstanding balance to the payment method on file within five (5) calendar days. Customers are responsible for maintaining accurate and valid payment information at all times.
Depending on the plan selected at checkout, hardware provisioning is governed by one of the following terms:
For Customers who purchase the tracking hardware upfront, ownership of the device transfers to the Customer upon full payment. The hardware is yours to keep, and services continue on a flexible month-to-month subscription.
For Customers who select a plan where tracking hardware is provided without an upfront purchase fee, all devices remain the sole and exclusive property of GpsFreightOne. The hardware is provided for use strictly during an active subscription period.
Upon cancellation or termination of a Subscription-Only Plan, the Customer must return all GpsFreightOne-owned devices to the Company within thirty (30) days of the cancellation effective date. Hardware must be shipped back in good working condition, subject only to normal wear and tear. The Customer bears all uninstallation and return shipping expenses.
If the Customer fails to return leased hardware within thirty (30) days, or if devices are returned with severe physical damage or unauthorized modifications, GpsFreightOne reserves the right to charge the Customer's payment method on file for the full retail replacement value of each unreturned or damaged device.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GPSFREIGHTONE DISCLAIMS ALL OTHER WARRANTIES, CONDITIONS, AND REPRESENTATIONS, WHETHER ORAL OR WRITTEN, EXPRESS OR IMPLIED, OR ARISING BY USAGE OF TRADE OR COURSE OF DEALING, INCLUDING WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, MEETING CUSTOMER REQUIREMENTS, SATISFACTORY QUALITY, TITLE, OR NON-INFRINGEMENT.
GPSFREIGHTONE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY SOFTWARE OR HARDWARE IMPROVEMENTS WILL BE MADE. WE DO NOT GUARANTEE ANY SPECIFIC LEVEL OF UPTIME FOR THE SERVICES, NOR DO WE WARRANT THAT ALL VEHICLES, ASSETS, OR EVENTS WILL BE ACCURATELY DETECTED, REPORTED, TRACKED, OR RECOVERED.
In no event shall GpsFreightOne be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to lost profits, lost freight, cargo theft, vehicle recovery failures, operational downtime, or business interruption. In no event shall the total aggregate liability of GpsFreightOne exceed the total amount paid by the Customer to the Company during the twelve (12) months preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless GpsFreightOne LLC, its officers, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses (including attorney's fees) arising from your unlawful use of the Services, violation of these Terms, unauthorized tracking of any asset or individual, misuse of remote immobilization features, or violation of state or federal privacy laws.
GpsFreightOne reserves the right to suspend or terminate access to the Services at any time, without prior notice, for non-payment, account abuse, suspected unlawful conduct, data scraping, security risks, or any material violation of these Terms.
These Terms shall be governed by, construed, and enforced under the laws of the State of Illinois, United States, without regard to its conflict of law principles. Any legal actions or disputes arising out of these Terms must be filed exclusively in the state or federal courts located within Illinois.
GpsFreightOne may update these Terms periodically to reflect changes in technology, operational requirements, or regulations. Updated versions become effective immediately upon posting to our website. Continued use of the Services constitutes acceptance of the revised Terms.
